1. Introduction

These Terms & Conditions (“Terms”) form a legally binding agreement between you (“you” or “your”) and Webb Technology Limited, trading as Spiderware (“Spiderware”, “we”, “us”, or “our”), a company registered in England and Wales (company number 11663507).

These Terms govern your access to and use of Soulbound, a multiplayer action RPG. Soulbound is currently available on Steam. We plan to make the Game available on additional platforms in the future. These Terms apply to all platforms where Soulbound is available.

By purchasing, downloading, installing, or playing Soulbound, you agree to be bound by these Terms. These Terms are accessible on our Steam store page before purchase, are linked from within the Game, and are presented at first launch. Your continued use of the Game constitutes ongoing acceptance of these Terms. If you do not agree, do not purchase, download, install, or play the Game. If you have already purchased the Game and do not agree, you may request a refund through Steam’s refund process.

If there is any conflict between these Terms and Valve’s Steam Subscriber Agreement regarding Steam’s platform services, Valve’s terms apply to the extent of that conflict. For all other matters relating to Soulbound, these Terms apply.

2. Definitions

In these Terms, the following words have specific meanings:

  • “Game” or “Soulbound” means the multiplayer action RPG developed and published by us, including all content, updates, patches, hotfixes, expansions, and downloadable content delivered through Steam or any future platform.
  • “Platform” means Steam (operated by Valve Corporation) and any other digital distribution platform where Soulbound is made available by us in the future.
  • “Services” means the Game, our website (soulbound.game), community channels, support services, and any other services we operate in connection with Soulbound.
  • “Account” means your Steam account, which serves as your account for accessing and playing Soulbound. We do not operate a separate account system.
  • “Content” means all visual, audio, narrative, and gameplay assets within the Game, created by us or our licensors.
  • “User Content” means content created or submitted by you within the Game or our Services, including character names, guild names, chat messages, forum posts, bug reports, and feedback.
  • “Virtual Items” means all in-game items, cosmetics, currency, and other digital goods available within the Game. Virtual Items are licensed to you, not sold. They exist solely within the Game, have no real-world monetary value, and cannot be exchanged, traded, or redeemed for real currency or value outside the Game.
  • “Early Access” means the pre-release development period during which the Game is available for purchase and play on Steam while still under active development.
  • “Spiderware” means Webb Technology Limited, trading as Spiderware, and its successors and assigns.

3. Eligibility

  • You must be at least 13 years old to create an account and play Soulbound.
  • If you are under 18, you must have permission from a parent or legal guardian to use the Game.
  • Parents and legal guardians are responsible for supervising their minor children’s use of the Game and any transactions made through it.
  • We do not knowingly collect personal information from or allow access to children under 13. If we become aware that a user is under 13, we will terminate their account and delete associated data.
  • We rely on Steam’s age verification and parental control features as part of our age assurance measures. Parents and guardians can use Steam’s Family View and parental controls to manage their children’s access.

4. Early Access

Soulbound is currently in Early Access. By purchasing and playing the Game during Early Access, you acknowledge and agree that:

  • The Game is not finished. Features, content, systems, and mechanics may change significantly before, during, and after the Early Access period.
  • Progress may be reset. Character progress, inventory, achievements, and other gameplay data may be partially or fully wiped during Early Access. We will endeavour to provide advance notice where possible, but this is not guaranteed.
  • No guarantees of completion. No guarantees are made regarding specific features, content, release timelines, or a final release date. Development priorities may shift based on player feedback, technical constraints, or business decisions.
  • Bugs and instability are expected. You may encounter crashes, exploits, missing content, and other issues typical of software in development.
  • Your feedback matters. Bug reports, suggestions, and community participation are encouraged through our official channels.

The Early Access price of Soulbound on Steam will not be higher than the price offered on any other platform during the same period.

5. Account and Access

Your Steam account serves as your account for Soulbound. You are responsible for maintaining the security of your Steam account.

You may not:

  • Share, sell, rent, or transfer your account or in-game progress
  • Access another person’s account without their permission
  • Use automation tools, bots, or scripts to bypass access restrictions
  • Create multiple accounts to circumvent bans or restrictions

We reserve the right to suspend or terminate access to the Game for any account that violates these Terms.

6. Licence Grant

Subject to your compliance with these Terms and Valve’s Steam Subscriber Agreement, we grant you a limited, non-exclusive, non-transferable, revocable licence to download, install, and play Soulbound for personal, non-commercial purposes.

This licence does not include the right to:

  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Game
  • Copy, reproduce, or distribute any part of the Game
  • Host unofficial servers or emulate Game services
  • Create derivative works based on the Game or its content
  • Use the Game or any of its content for commercial purposes without our written permission

7. Intellectual Property

All intellectual property rights in and to Soulbound, including but not limited to code, artwork, audio, music, narrative content, gameplay systems, trademarks, trade names, and logos, are and remain the exclusive property of Webb Technology Limited or its licensors.

Nothing in these Terms transfers any intellectual property rights to you. Your use of the Game is strictly under licence as set out in Section 6.

8. Content Creation and Streaming

We welcome players sharing their Soulbound experiences. You are welcome to create and publish gameplay videos, live streams, screenshots, reviews, guides, podcasts, and other content based on Soulbound (“Creator Content”), including on monetised channels, subject to the following:

You may:

  • Capture and share gameplay footage, screenshots, and audio from Soulbound
  • Monetise your Creator Content through standard platform features such as advertising revenue, channel memberships, subscriptions, donations, and sponsorships, provided the content is genuinely your own creative work built around the Game

You must:

  • Make clear that your Creator Content is unofficial and not produced or endorsed by Spiderware, unless we have a written arrangement with you
  • Credit Soulbound and Spiderware where reasonable
  • Comply with our Community Standards

You must not:

  • Claim or imply official endorsement, partnership, or sponsorship by Spiderware where none exists
  • Use our logos, trademarks, or brand assets in a way that suggests official status without our written permission
  • Sell, licence, or distribute Game assets (art, audio, music, code, models, narrative text) on their own or as the substantive part of a product
  • Use Creator Content to distribute cheats, exploits, or instructions for breaking these Terms

We grant this permission as a revocable licence. We may revoke it where Creator Content breaches these Terms or causes harm, but we will not revoke permission unreasonably.

8.1 Fan Content

Non-commercial fan creations are welcome, including fan art, fan fiction, cosplay, community guides, wikis, and community tools, provided they are clearly unofficial, not sold for profit where they consist primarily of our assets, and comply with our Community Standards.

9. User Content

“User Content” means any content you create, upload, submit, or display within or in connection with the Game, including character names, guild and clan names, profile text, chat messages, and any other material you contribute.

Ownership. You retain ownership of any original User Content you create, to the extent you hold rights in it.

Licence to us. By creating or submitting User Content, you grant Webb Technology Limited a worldwide, non-exclusive, royalty-free, sublicensable, and transferable licence to host, store, reproduce, modify (for formatting and technical purposes), display, perform, distribute, and otherwise use your User Content for the purposes of operating, providing, securing, moderating, promoting, and improving the Game and our services.

Your responsibilities. You are responsible for your User Content. You confirm that your User Content does not:

  • Break the law or facilitate illegal activity
  • Infringe anyone’s intellectual property, privacy, or other rights
  • Breach our Community Standards (Section 11)
  • Contain malicious code, spam, scams, or unsolicited advertising

Moderation. We may review, refuse, filter, hide, or remove User Content at our discretion and without notice.

10. Virtual Items, Purchases, and In-Game Economy

10.1 Virtual Items

All in-game items, cosmetics, characters, character progression, currency, consumables, equipment, and other digital goods within Soulbound are “Virtual Items.” Virtual Items are licensed to you, not sold.

Virtual Items:

  • Are and remain the property of Webb Technology Limited at all times
  • Have no real-world monetary value whatsoever
  • Cannot be redeemed, refunded, exchanged, or converted into real currency, credit, or anything of value outside the Game
  • Cannot be transferred between accounts except through official in-game trading systems (if available)
  • May be modified, rebalanced, or otherwise changed at any time as part of ongoing game development
  • May be removed from the Game entirely as part of updates, content rotation, or design decisions

If your account is suspended or terminated for any reason, you lose access to all Virtual Items associated with that account.

10.2 Early Access and Virtual Items

During Early Access, you additionally acknowledge that:

  • Progress and inventory wipes may occur. We may reset characters, inventories, currency balances, achievements, and other progression as needed for testing, balancing, or development purposes. We will give reasonable notice where possible.
  • The in-game economy is experimental. Item values, drop rates, crafting costs, and economic systems are subject to significant changes.
  • Items and features may be removed. Content available during Early Access may not appear in the final release.
  • No compensation for changes. You are not entitled to refunds, replacement items, or other compensation when items or progression are modified or removed as part of Early Access development.

10.3 Purchases

All purchases of Soulbound and any in-game content are processed exclusively through Steam. Valve Corporation acts as the merchant of record for all transactions.

  • We do not process, collect, or store your payment information. All payment handling is managed by Valve through Steam.
  • Pricing and availability is determined through Steam’s systems. Regional pricing, local taxes, and currency conversion are handled by Steam based on your account region.

10.4 Refunds

Refunds for the Game and for in-game purchases are subject to Steam’s refund policy, available at Steam Refund Policy. Refund requests must be submitted to Valve through Steam’s standard refund process.

Your statutory rights are not affected. If you are a consumer in the United Kingdom, your rights under the Consumer Rights Act 2015 apply, including the right to a refund for digital content that is not of satisfactory quality, not fit for purpose, or not as described. Nothing in these Terms limits those rights.

For consumers in the European Union, your rights under the Consumer Rights Directive and applicable national consumer protection laws are similarly unaffected.

10.5 Virtual Currency

If the Game includes virtual currency (such as in-game gold, gems, credits, or similar):

  • Virtual currency is a Virtual Item and subject to all provisions of Section 10.1
  • Virtual currency can only be earned through gameplay or purchased through Steam
  • Virtual currency can only be spent within the Game on available items and services
  • Virtual currency has no cash value and cannot be exchanged for real money
  • Unused virtual currency balances are not refundable except where required by applicable consumer protection law

10.6 Seasonal and Premium Content

We may offer time-limited content, seasonal events, battle passes, or other premium content within the Game. For such content:

  • Access to seasonal content may expire at the end of the relevant season or event period. We will clearly communicate the duration of any time-limited content.
  • Rewards earned before a season ends remain available to you (unless modified under Section 10.1 or 10.2). Unearned rewards are forfeited when the season ends.
  • Premium content is subject to the same Virtual Items terms.

10.7 Prohibition on Real-Money Trading (RMT)

You may not sell, purchase, trade, or offer to trade Virtual Items, accounts, in-game currency, or any other Game-related assets for real-world money, gift cards, or any other form of real-world value. This includes:

  • Selling or buying accounts, characters, or in-game items on third-party websites or marketplaces
  • Advertising or soliciting real-money trades within the Game or on external platforms
  • Using third-party services that facilitate real-money trading of Game assets
  • Accepting real-world compensation for in-game services (such as power-levelling or boosting) unless explicitly permitted by us in writing

Violations may result in immediate and permanent account suspension, removal of all Virtual Items and progression, and, where appropriate, legal action.

11. Community Standards and Moderation

We want Soulbound to be a place where players can compete, cooperate, and have fun without abuse. We comply with the UK Online Safety Act 2023 and other applicable laws.

11.1 Community Standards

The following behaviour is prohibited anywhere in the Game or its associated services:

  • Harassment and bullying: Targeting, intimidating, stalking, or repeatedly disturbing another player or staff member
  • Hate speech and discrimination: Attacking or demeaning people based on race, ethnicity, nationality, religion, sex, gender identity, sexual orientation, disability, age, or any other protected characteristic
  • Threats and violence: Threatening, encouraging, or glorifying violence against any person or group
  • Sexual misconduct: Sexual harassment, unsolicited sexual content, and any sexual content involving minors
  • Impersonation: Pretending to be Spiderware staff, a moderator, another player, or any other person or organisation in a way designed to deceive
  • Illegal activity: Promoting, facilitating, or engaging in unlawful conduct
  • Self-harm content: Encouraging or instructing self-harm, suicide, or other dangerous behaviour
  • Doxxing: Sharing or threatening to share another person’s private or identifying information without consent
  • Spam and disruption: Flooding chat, advertising, scams, phishing, link spam, or deliberately disrupting the experience of others
  • Cheating and exploitation: Cheating, exploiting, or gaining unfair advantage (see Section 12)
  • Real-money trading: Buying, selling, or trading accounts or in-game items for real-world value (see Section 10.7)

11.2 How We Moderate

We use three complementary layers of moderation:

  • Automated filtering: Automated systems help detect and filter prohibited content in text across all in-game communication channels, including public chat, party chat, guild chat, and direct messages. These systems can apply lightweight, immediate measures and flag content for human review.
  • Human moderators: Trained staff review flagged content and reports, make decisions on serious matters, and oversee the automated systems.
  • Player reporting: In-game reporting tools let you report players, messages, names, and User Content.

Automated systems support our moderators but do not, on their own, impose serious penalties such as permanent bans. Serious enforcement decisions involve human review.

11.3 Enforcement Ladder

Depending on the severity, intent, impact, and history of the behaviour, we may apply one or more of the following:

  1. Warning: Notice that your behaviour breaches these standards and must stop.
  2. Content action: Removal of the offending content, or a forced change to a non-compliant name.
  3. Temporary mute or chat restriction: Time-limited loss of access to chat or other social features.
  4. Temporary suspension: Time-limited loss of access to the Game or specific features.
  5. Permanent ban: Permanent loss of access to your account and the Game.

We may also remove items, currency, or progression connected to the violation.

Serious violations (credible threats, child sexual content, doxxing, sustained hate speech, fraud, or serious cheating) may result in immediate permanent ban without prior warning. We may report illegal activity to law enforcement.

11.4 Guilds, Clans, and Player Groups

Guild, clan, and group names and emblems are User Content and must comply with our Community Standards. Group leaders are expected to discourage prohibited behaviour within their group. We may rename or disband groups where their conduct breaches these Terms.

11.5 Appeals

If you believe a moderation or enforcement decision was wrong, you may appeal:

  • How to appeal: Email legal@spiderware.gg with your Steam display name, the action taken, and why you believe it was incorrect.
  • Time limit: Please appeal within 30 days of the decision.
  • Independent review: Your appeal will be reviewed by a member of staff who was not responsible for the original decision.
  • Response time: We aim to respond within 14 days.
  • Outcome: We will tell you the outcome and the main reasons. If your appeal succeeds, we will reverse the action and restore affected access or content where possible.

12. Anti-Cheat and Fair Play

We use server-side monitoring and detection systems to maintain fair play.

What you must not do:

  • Use bots, macros, auto-clickers, automation scripts, or similar tools
  • Exploit bugs, glitches, unintended interactions, or other defects for advantage
  • Modify the game client, memory, or data files, inject code, or alter the intended behaviour of the Game
  • Manipulate network traffic, packets, or connections to gain an advantage
  • Use third-party tools or software that interact with the Game in ways we have not authorised
  • Attempt to interfere with or circumvent our anti-cheat systems

How our anti-cheat works:

Our anti-cheat systems operate entirely on our servers. We do not install kernel-level drivers, rootkits, or invasive client-side software. We do not scan your device, files, or running processes outside of the Soulbound game client. For full details on data collection, see Section 12 of our Privacy Policy.

Consequences:

  • Warnings, temporary suspensions, or permanent bans
  • Removal of items, currency, or progression
  • Restriction of access to specific game features
  • Reporting to law enforcement where appropriate

Legal consequences for serious violations:

Serious violations may constitute criminal offences under the Computer Misuse Act 1990 (UK), including:

  • Section 1: Unauthorised access to computer material (up to 2 years’ imprisonment)
  • Section 2: Unauthorised access with intent to commit further offences (up to 5 years’ imprisonment)
  • Section 3: Unauthorised acts with intent to impair operation of a computer (up to 10 years’ imprisonment)

Appeal process: Same as Section 11.5. Email legal@spiderware.gg with subject “Anti-Cheat Appeal”, include your Steam ID and explanation.

Responsible disclosure: If you discover a bug, exploit, or security vulnerability, we encourage you to report it to us at legal@spiderware.gg rather than exploiting it. We do not penalise good-faith security research conducted responsibly.

13. AI and Automated Content

Our use of AI in Soulbound is in accordance with Steam’s policies on AI-generated content. For details, please refer to our Steam store page.

14. Data Protection and Privacy

We process personal data in accordance with the UK GDPR, the Data Protection Act 2018, and other applicable laws including the EU GDPR, CCPA/CPRA, COPPA, and the UK Online Safety Act 2023.

We do not sell your personal data. We never have and we have no plans to do so. Analytics data is used solely for game improvement and internal decision-making.

15. Termination

By you:

  • You may stop using the Game at any time.
  • You may request deletion of your account and associated data by contacting legal@spiderware.gg.

By us:

  • We reserve the right to suspend or terminate your access to the Game at any time, with or without notice, for any reason, including but not limited to:
  • Breach of these Terms (whether material or repeated)
  • Conduct that harms or threatens the Game, other players, or our staff
  • Cheating, exploitation, fraud, or any violation of Sections 11 or 12
  • We are required to do so by law or regulatory order
  • We discontinue the Game or any part of it
  • Any other reason at our sole discretion

We are not required to provide advance notice or an opportunity to remedy before suspending or terminating your access, though we will endeavour to act reasonably.

Upon termination:

  • Your licence to use the Game is immediately revoked.
  • You will lose access to your account, including any Virtual Items, progress, and associated content.
  • No refunds will be issued by us for Virtual Items or progression lost due to termination. All refund requests for the Game itself must be submitted through Steam’s refund process at Steam Refund Policy. Your statutory rights under the Consumer Rights Act 2015 (for UK consumers) and equivalent consumer protection laws in other jurisdictions are not affected.

16. Disclaimers

The Game is provided on an “as is” and “as available” basis, particularly during Early Access.

To the maximum extent permitted by applicable law:

  • We disclaim all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • We do not guarantee that the Game will be uninterrupted, error-free, secure, or free from harmful components.
  • We are not responsible for content created or actions taken by other players.

Nothing in these Terms limits or excludes your statutory rights under the Consumer Rights Act 2015 or equivalent consumer protection legislation in your jurisdiction.

17. Limitation of Liability

To the maximum extent permitted by applicable law:

  • We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses, arising from your use of the Game.
  • Our total aggregate liability for all claims arising from these Terms or the Game is limited to the total amount you paid through Steam in the 12 months preceding the event giving rise to the claim.

These limitations do not apply to:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Any liability that cannot be excluded or limited by applicable law

18. Force Majeure

We are not liable for any delay or failure to perform our obligations where such delay or failure results from circumstances beyond our reasonable control, including: natural disasters, war, terrorism, cyberattacks, government actions, internet or power outages, pandemics, and strikes or industrial action.

19. Dispute Resolution

These Terms are governed by the laws of England and Wales.

We encourage you to contact us first to resolve any dispute informally at legal@spiderware.gg.

If informal resolution is not successful, the courts of England and Wales shall have non-exclusive jurisdiction. If you are a consumer in the United Kingdom, you may bring proceedings in the courts of England and Wales or the courts of your domicile. If you are a consumer in the European Union, you benefit from the protections of the mandatory provisions of the consumer protection laws of your country of residence (in accordance with Article 6(2) of the Rome I Regulation), and you may bring proceedings in the courts of your domicile.

For users in the United States: To the extent permitted by applicable law, you agree to waive any right to participate in class action lawsuits or class-wide arbitration against Webb Technology Limited. This waiver does not apply to users in the United Kingdom, the European Economic Area, or any other jurisdiction where such waivers are prohibited by law. Nothing in this section restricts your right to bring individual claims or to participate in any collective redress mechanism available to you under mandatory consumer protection law in your jurisdiction.

20. Severability

If any provision of these Terms is found invalid, illegal, or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force and effect.

Our failure to exercise or enforce any right or provision of these Terms does not constitute a waiver of such right or provision.

21. Changes to These Terms

We may update these Terms from time to time due to:

  • Changes in applicable law or regulation
  • Updates to platform policies (including Steam)
  • Changes to the Game’s design, features, or systems
  • Improvements to clarity or readability

Material changes will be communicated via in-game notices, Steam announcements, or email at least 30 days before they take effect. Your continued use of the Game after changes take effect constitutes acceptance of the updated Terms. If you do not agree with the changes, you should stop using the Game before the changes take effect.

Where material changes affect your consumer rights or require your consent, we will seek affirmative acceptance before those changes apply to you.
